Upon due notice given and received, the General Session of the Board of

The Venturanza Del Verde General Session meeting was called to order at
6:02 pm by Dr. Daniel De Roulet, President.

There were three (3) homeowners in attendance.

Homeowner questions: Website updates of Minutes, water conservation ideas noted including replacement of toilet, watch for running water in the pool area – have Crandalls look at those areas and consider replacing toilets with low-flow in the pool courtyard restrooms, homeowner in attendance to listen and learn, homeowner reported some master bathrooms now require a vent per code enforcement – board requests some sort of work-around so stucco wall is not damaged, homeowner working on sending documents a pictures of infractions in her auto court, water was leaking out of the utility closet area, repairs to patio gapping noted as starting in the community, inquiry about pool balcony fence receiving Shepard hooks additions, inquiry about awnings, arched awnings discussed as being removed, and thanks the Board for their time and service to the community.

An Executive Session was held immediately following the General Session
to discuss legal matters, discussion of formulation of third-party contracts,
member requests and/or member discipline.

A motion was made, seconded, and moved to approve the Consent Calendar
as presented, and in its entirety, which includes the following:

Review of the May 20, 2021 General Session Meeting Minutes: Approved
A motion was made, seconded, and moved to approve May 20, 2021 General Session Meeting Minutes as written.

Review of the May 31, 2021 Financial Report: Approved
A motion was made, seconded, and moved to approve the May 31, 2021 Financial Report, as submitted, subject to audit.

Page 9: Switch / wash $3,250
Page 36: Outstanding check – Kimber to check on these
Page 37: Account balance in Operating is low creating a hold on the reserve
account transfer for the month of May.
Page 41: Write off the outstanding checks in 2019 - 2020
Page 38: Comerica Bank: Avidpay Service – BOD would like to know who the vendors are as noted on the statement. The journal of credits should have the cross reference of the vendor based off of the $ amount.

OLD BUSINESS

Patio Entry Gap Repair Project: Brooker & Associates
In process – precedes the paint project.

Stucco, Wood, and Doors - Painting: EmpireWorks
Start date is July 12, 2021. EmpireWorks will start on building #16.

Garage Weather Stripping Replacement Proposal, EmpireWorks
A motion was made, seconded, and moved to approve EmpireWorks proposal
contract # 2033090 dated 04/26/21, in the amount of $29,700 to replace the
garage weatherstripping throughout the community as outlined on the
proposal. 10% deposit required.

Garage Door Weather Stripping, EmpireWorks
Tabled pending additional bids.

Balcony Lighting
HOA buying the fixtures and will get reimbursed by assessing the unit owners.

HVAC, Letter to Homeowners
Confirmed that letters have gone out to homeowners regarding proof of repairs
or HVAC in good working order. Discussion ensued.

NEW BUSINESS

Shutter Inspections and Replacements
Discussed replacing existing shutters with vinyl shutters. Board asks that there
be a full shutter count and cost to replace with vinyl. May be a customer size.
Rust runs down the building behind shutters.

Awnings
If a homeowner does not want to replace their awning, we will need to know
so holes can be patched and painted. Send letter stating if the homeowner does
not want to keep the awning they want to
Estimated price for awnings for individual homeowners to be included in the
letter.

Shepard’s Hooks Installation: Fencing above the Pool
By top back right of gate and across the fencing of the Juliet balcony above
the pool. Reach out to neighboring community to see if they know who the
teenage diver is.

Garage Opener Keypads
Can reposition when weatherstripping is completed.

Removal of the original Intercom System to those few units that have them
next to their front door discussed.

Trash Being Left on Patios for a Day or Two
Trash is being left on front porch or back balcony. Left for a couple of days
then taken down to the trash. Kimber to eblast on this matter, explain privilege
loss, and pest control issues.

• Service vehicles being parked in the auto courts during the day. Trucks
being parked in guest spots.

Kimber - Please start shopping for insurance now.
Kimber - Please get Holiday Lights proposal.

Social Committee
The social committee suggests:
1. Community Clean Up Day
2. Yogurt Offering at the Pool Courtyard
3. Summer Barbeque, September - Discussed

Maintenance Committee:
Walk schedule to remain at 1:00 pm through the Summer unless it gets to
terribly hot – in the 90’s.

Events Calendar
ITEMS/ REPORTS The 2021 events calendar was reviewed by the Board of Directors.

IRWD Water Report
The Board of Directors reviewed the Irvine Ranch Water District report.

Patrol Masters Security Report
The Board of Directors reviewed the Patrol Masters parking reports.

Management recommends that The Board of Directors follow best business
practices regarding contracts, seek legal counsel to review all contracts, and
provide input and/or Association legally generated the corresponding contract
in order to safeguard the Association. In addition, legal counsel is suggested
to limit liability.

The Business Judgment Rule is set forth in the California Corporations Code
and requires a director to perform his or her duties (1) in "good faith," (2) in a
manner he or she believes is in the corporation's best interest, and (3) with
such care, including "reasonable inquiry" as an ordinarily prudent person in a
like position would use under similar circumstances.

The Venturanza Del Verde Community Association is a Non-Profit, Mutual
Benefit Corporation established in 1991.

he next regularly scheduled General Session meeting of the Venturanza Del
Verde Board of Directors is July 22, 2021, 3rd Thursday monthly – pending
pandemic restrictions. Zoom meetings continuing to take place monthly.

There being no further business to come before the Board of Directors in the
General Session of the Venturanza Del Verde Community Association, the
meeting was adjourned at 7:23 pm to go into Executive Session.
